By checking the acceptance box during account registration and creating an account, you agree to be bound by this Agreement. Acceptance of these Terms is a condition of account creation and use of the Service.
If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to this Agreement. In such case, "Customer" refers to that entity, and the entity is responsible for all acts and omissions of its employees, contractors, agents, and authorized users.
If you are entering into this Agreement as an individual for personal use, you agree that you are personally bound by these Terms.
The Service is intended only for individuals who are at least eighteen (18) years old. By accepting these Terms, you represent and warrant that you are at least 18 years of age.
Senturi may update these Terms from time to time. Continued use of the Service after notice of updated Terms constitutes acceptance of the revised Terms.
Senturi is an AI-driven IT support and cybersecurity orchestration platform that facilitates provisioning, configuration, monitoring, and coordination of third-party security, backup, remote management, and payment services.
Senturi does not operate its own antivirus engine, backup storage infrastructure, remote access infrastructure, or payment processing network. The Service integrates with independent third-party vendors to deliver functionality.
The Service relies on independent third-party providers for:
Senturi does not control the infrastructure, systems, availability, or security practices of such providers and may change or replace vendors at its discretion.
Remote access to Customer devices occurs only through authorized third-party remote management tools and with Customer authorization. Senturi does not independently access devices outside such vendor platforms.
Senturi stores limited categories of data necessary to operate the Service, including:
Telemetry may include hardware specifications and performance metrics such as disk size, disk utilization, memory usage, processor utilization, temperature readings, operating system version, and patch status.
Senturi does not host Customer production data or backup repositories. Such data is stored and processed by independent third-party providers under their respective agreements.
Customer acknowledges that Third-Party Services are governed by the providers' own terms and policies.
Each Third-Party provider is solely responsible for:
In the event of a security incident originating within a Third-Party provider's systems, responsibility for investigation, remediation, and regulatory compliance rests with that provider.
Senturi may provide reasonable coordination assistance but does not assume liability for Third-Party incidents.
Payments are processed by independent third-party payment processors. Senturi does not store full payment card numbers.
Customer authorizes recurring charges where applicable and agrees to pay all fees when due.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTURI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SENTURI DOES NOT WARRANT THAT:
Cybersecurity services reduce risk but do not eliminate risk.
To the maximum extent permitted by law, Senturi shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, business interruption, data loss, security incidents, or regulatory fines.
Senturi's total cumulative liability arising out of or related to the Service shall not exceed the total fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.
Customer acknowledges that this limitation of liability is an essential basis of the bargain.
Senturi may use anonymized and aggregated data derived from operation of the Service for:
Such data will not identify Customer and will not include file contents.
Customer agrees to use the Service only for lawful purposes.
Customer shall not:
Senturi may suspend or terminate accounts that create security risk or violate this Agreement.
Customer is solely responsible for determining whether its use of the Service is subject to any industry-specific or regulatory requirements, including but not limited to healthcare privacy laws, financial services regulations, attorney-client confidentiality obligations, or data protection statutes.
Senturi does not represent or warrant that the Service complies with any specific regulatory framework, including but not limited to HIPAA, HITECH, GLBA, or similar laws.
Unless expressly agreed in a separate written agreement signed by Senturi, Senturi does not act as a "Business Associate," "Data Processor," or similar regulated role under any industry-specific legal framework.
Senturi does not access, store, or host Customer file contents and does not assume responsibility for regulatory compliance obligations related to Customer data stored within Third-Party Service providers.
Customer acknowledges that compliance with applicable laws and regulations remains solely Customer's responsibility.
Customer acknowledges that it has not relied upon any statement, representation, marketing material, or description of the Service not expressly set forth in this Agreement when deciding to use the Service.
Customer further acknowledges that the Service is a technical management and security orchestration platform and is not a compliance certification, legal advisory service, or guarantee of regulatory adherence.
Upon termination, Senturi may disable access, revoke licenses, and deprovision integrations.
Customer is responsible for retrieving data stored within Third-Party Services prior to termination.
Senturi may retain account metadata, billing records, audit logs, and anonymized telemetry for legal, accounting, fraud prevention, and legitimate business purposes.
Customer agrees to defend, indemnify, and hold harmless Senturi and its affiliates from any claims, damages, losses, liabilities, fines, or expenses arising from:
Indemnification obligations are not limited by the liability cap in Section 6.
This Agreement is governed by Louisiana law.
Business Customers: disputes shall be resolved exclusively in Louisiana state or federal courts.
Individual Customers: disputes shall be resolved by binding arbitration in Louisiana.
Customer agrees to bring claims only in an individual capacity and waives class actions and jury trials to the maximum extent permitted by law.
Senturi is not liable for delays or failures caused by events beyond its reasonable control, including cyberattacks, vendor outages, or internet disruptions.
Customer may not assign this Agreement without consent. Senturi may assign in connection with a merger, acquisition, or restructuring.
If any provision is unenforceable, the remaining provisions remain in effect.
This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements or understandings.
